Introduction
This Maintenance & Hosting Agreement governs the ongoing hosting and maintenance of websites built and managed by AI Takes Axion Ltd on behalf of the client. This Agreement applies from the date the website goes live and continues on a rolling monthly basis.

Hosting
The client's website is hosted on secure cloud infrastructure managed by the Company. Hosting includes website files served over HTTPS, an SSL certificate, uptime and security monitoring, backups of the site source, and any platform-level updates.
Hosting is delivered through the client's monthly plan and is not charged separately. Every live website must be on one of the plans set out in Section 03 from the date it goes live. There is no additional hosting fee on top of the monthly plan.
Domain registration and renewal are included in the monthly plan. See Section 07.

Monthly Plans
Current prices for each plan are set out at the point of sale and confirmed in writing before service begins. Plans are billed monthly in advance as set out in the Billing Terms.
Website Care Plan
Managed hosting, domain registration and renewal, SSL, security and uptime monitoring, backups of the site source, content changes as set out in Section 04, and email support. Google Business Profile setup and management is not included on this plan.
Local SEO
Everything in the Website Care Plan, plus Google Business Profile setup and ongoing management, business listings and citation building, local keyword tracking, and monthly reporting.
Full SEO
Everything in Local SEO, plus ongoing technical SEO, on-page optimisation, and content activity as agreed.
Important
Websites built by the Company are custom-coded and have no client login. The monthly plan is the mechanism by which changes are made to a live site. A website cannot be hosted by the Company without one.

Maintenance & Content Changes
Clients on any monthly plan may request unlimited content changes, subject to fair use. This covers text, prices, opening hours, photo swaps, testimonials, typos, links, and small styling fixes. Requests are batched and typically completed within two to three working days.
Not Included
New pages, new features such as booking systems, blogs, shops, or galleries, full redesigns, and brand or logo changes are new work. These are scoped and quoted separately. The rule is that tweaks are included and new builds are quoted.
Fair Use
Unlimited is offered in good faith and reflects normal use by a small business. Where requests become sustained enough to amount to a separate ongoing project, the Company will say so in writing and agree a quote before continuing.
Clients Without a Monthly Plan
Where a site is hosted elsewhere or a plan has ended, content updates can be requested and will be quoted on a per-request basis at £85/hour.

Site Ownership
The client owns all content, copy, and design assets created specifically for their website, subject to full payment of all fees. The hosting platform, framework, and proprietary systems remain the property of the Company.
The client's domain remains the client's property at all times, regardless of who registered it.

Termination of Hosting
Termination by the Client
The client may terminate hosting at any time with 30 days written notice.
Termination by the Company
The Company may terminate hosting with 30 days written notice, or immediately in cases of non-payment or breach of agreement.
What Happens to the Site
Upon termination the Company will provide the client's site files on request. As sites are custom-coded, the client's files are portable and can be hosted elsewhere. The Company will point the client's domain to a host of the client's choosing, or transfer the domain to the client's own registrar account, on request and once all outstanding fees are paid.
Third-Party Accounts
Where the Company holds administrative access to the client's Google Business Profile, analytics, or other third-party accounts, that access is removed within 14 days of termination and full ownership is returned to the client. Any listings, posts, reviews, or profile content created during the term remain with the client.

Domain Management
While the client is on an active monthly plan, the Company registers and renews the client's domain at its own cost as part of that plan. The client is not invoiced separately for it. This covers standard registrations such as .co.uk and .com. Premium, aftermarket, or unusually priced domains are quoted and charged at cost.
The domain is the client's property at all times, whoever registered it and whoever pays for it.
If the client prefers to keep their domain at their own registrar, they may do so and continue paying for it themselves. In that case the client is responsible for renewing it on time, and the Company is not responsible for a site going offline because a domain has lapsed.
When a monthly plan ends, responsibility for the domain returns to the client. The Company will transfer it to the client's own registrar account and will tell the client when the next renewal falls due. From that point the Company does not renew it.

Uptime & Availability
The Company aims to maintain reliable hosting but does not guarantee 100% uptime. Service availability may be affected by third-party platform maintenance or outages outside the Company's control. The Company is not liable for loss of revenue resulting from hosting downtime caused by third-party infrastructure.
