Maintenance & Hosting Agreement

The terms governing ongoing hosting, maintenance, and site ownership.

Introduction

This Maintenance & Hosting Agreement governs the ongoing hosting and maintenance of websites built and managed by AI Takes Axion Ltd on behalf of the client. This Agreement applies from the date the website goes live and continues on a rolling monthly basis.

Hosting

The client's website is hosted on the Company's Webflow agency platform. Hosting includes website files hosted and served on the platform, SSL certificate, basic uptime monitoring, and platform updates managed by the Company.

Hosting does not include website edits, content updates, SEO activity, or design changes unless separately agreed as part of a retainer package.

Hosting is included as standard across all packages at no additional monthly charge. The client is responsible for annual domain renewal fees.

Site Ownership

The client owns all content, copy, and design assets created specifically for their website, subject to full payment of all fees. The hosting platform, framework, and proprietary systems remain the property of the Company.

Maintenance

Maintenance is included and covers minor content updates, security and platform updates, form and integration checks, and monthly SEO activity as agreed.

Any large changes can be requested and will be quoted on a per-request basis at £85/hour.

Termination of Hosting

Termination by the Client

The client may terminate hosting at any time with 30 days written notice.

Termination by the Company

The Company may terminate hosting with 30 days written notice, or immediately in cases of non-payment or breach of agreement.

What Happens to the Site

Upon termination the client may export the site — the Company will provide available site files. Note that certain platform-specific features will not function after export. Alternatively the client may move to a hosting-only arrangement at a reduced fee.

Domain Management

Annual domain renewal fees are the client's responsibility and will be invoiced annually. The Company will provide reasonable notice before renewal is due. If the client fails to pay renewal fees, the domain may lapse. The Company is not responsible for the loss of a domain due to the client's failure to pay.

Uptime & Availability

The Company aims to maintain reliable hosting but does not guarantee 100% uptime. Service availability may be affected by third-party platform maintenance or outages outside the Company's control. The Company is not liable for loss of revenue resulting from hosting downtime caused by third-party infrastructure.
